You also agree not to reproduce or redistribute AudienceMavens’ intellectual property in any way. This includes electronic, digital, or new trademark registrations.
Also, you grant AudienceMavens a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you upload and publish. You should contact the company to agree on issues regarding intellectual property claims.
Purchase(s)/Payment(s)
If you purchase any available product or service through the Service (“Purchase”). In that case, you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that:
- you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase and that
- (ii) the information you supply is accurate, correct, and complete.

All purchases and payment plans will be billed in U.S. dollars (USD). The Company is not responsible for international purchase fees or exchange rates.
Where products or services are offered on a payment plan, the overall cost is split into a fixed schedule of smaller payments, which are collected at regular intervals until all payments have been made.

Permissions
Upon purchase of any of the Company’s products and services, you give the Company permission to take a screenshot of, copy, exhibit, publish, or distribute any review or testimonial, either whole or in part, to promote the Company’s products and services or for any other lawful purpose. This includes any post shared in a Company social media group (e.g., YouTube, LinkedIn, etc.)
You waive any right to inspect or approve the finished product, including a written copy wherein the testimonial appears.
Testimonials may be used in publications (digital or printed), multimedia presentations, websites, social media, or any other distribution media. You agree that you will not make any monetary or other claims against the Company for using testimonials or reviews.
Indemnification
You agree to defend, indemnify, and hold harmless AudienceMavens and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of
a) your use and access of the Service by you or any person;
b) a breach of these Terms, or
c) Content posted on the Service.
Limitation Of Liability
In no event shall AudienceMavens, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Force Majeure
AudienceMavens shall not be liable to you for any breach of its obligations or termination under these terms and conditions arising from causes beyond its reasonable control, including, but not limited to, fires, floods, earthquakes, volcanoes, and other Acts of God, terrorism, strikes, delay caused by transport disputes, failure to provide a report caused by a death in the audience researcher’s family, illness of the audience researcher, Government mandate or regulation.
Law and Jurisdiction
These Terms shall be governed and construed by California, United States laws, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had regarding the Service.
Disputes
Any dispute related to your use of this website, services or products you purchase from us shall be arbitrated by state or federal court in Los Angeles, and you consent to exclusive jurisdiction and venue of such courts.
Indemnification
You agree to indemnify AudienceMavens and its affiliates and hold AudienceMavens harmless against legal claims and demands arising from your use or misuse of our services or products. We reserve the right to select our legal counsel.
AudienceMavens reserves the right to edit, modify, and change this Agreement at any time. This Agreement is an understanding between AudienceMavens and the user, and it supersedes and replaces all prior agreements regarding using this website.
